I have often said that the tax agencies aren’t exactly going to hand you a certificate that says:

“Congratulations! You Escaped Tax Slavery!” 🤪

Well...

I might just have to stop saying that.

A Conscious Contracting Cohort member I’ve been helping through the process of dissolving her LLC so she can transition into running her life mission through a 508(c)(1)(A) “Church” just received the closest thing I’ve ever seen to that magical certificate...

...the one I USED to believe was about as likely to appear as a unicorn. 🦄  

She went from THIS:

Proposed Assessment: $9,209.08

to THIS:

And look closely at what the California Franchise Tax Board actually wrote:

“We reviewed your protest and, based on the information you provided, we withdrew the assessment.”  

THE $9,209.08 ASSESSMENT WAS WITHDRAWN.

Not exactly the magical unicorn certificate...

but VERY darn close. 😏

And this is exactly why I teach strategic dissolution.

Because there is a HUGE difference between:

“I stopped using my LLC so I could live my MISSION (tax exempt) though a 508(c)(1)(a) "Church"”

and

“I strategically dissolved and LLC to my advantage - cleared the debt & tax obligations”

That distinction is the entire point.

• IRS Form 1120-S — Final Corporate Federal Tax Return

• Final State Tax Return — using California’s Form 100S as our example
• Responding to notices and proposed assessments that arrive during the dissolution process
• Creating the administrative record of the transition  

This is not about simply filing a dissolution form and hoping everything else disappears.

It is about deliberately administering the transition.

And This California Case Is Still Moving Through the Process

The California example above is still moving through the larger dissolution process.

But I’ve also worked with others who have completed this process and afterward received what may be my absolute favorite IRS letter ever:

The IRS wrote:

“We reviewed the information you provided and determined no action is necessary on your account.” 😍 

I LOVE RECEIPTS.

Because I don’t want Conscious Contracting to be about theories you collect.

I want you to understand how to actually USE the work.

There is a difference between endlessly studying private structure, fiduciary capacity, administrative process and mission-centered living...

and actually putting those ideas to work when a real letter lands in your mailbox.

This is the work.

Real notices.

Real documents.

Real responses.

Real administrative records.

And sometimes...

real letters saying the assessment has been WITHDRAWN.
